Overview Welcome to FRANNKLY ROASTED. The terms "we", "us" and "our" refer to FRANNKLY ROASTED (ABN 59462623549). We operate this store and website, including all related information, content, features, tools, products and services (the "Services"). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced in them (these "Terms"), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded (see sections 16 and 17).

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.

1. Access and account. By agreeing to these Terms, you confirm you are at least the age of majority in your state or territory of residence. If you create an account, you are responsible for keeping your login details secure and for all activity under your account. You must provide information that is accurate, current and complete, and you may not transfer, sell or assign your account to anyone else.

2. Our products. We make every effort to represent our products accurately, including ingredients and any allergens. Coffee is a perishable food product — please check the best-before date on receipt and store as directed. Colours and product appearance may differ slightly from how they appear on your screen. We may change product descriptions, discontinue products, or limit quantities available to any person or region at our discretion.

3. Orders. When you place an order you are making an offer to purchase. We may accept or decline any order at our discretion (for example, if a product is unavailable or a pricing error occurred), and your order is not accepted until we confirm it. We must receive payment before an order is accepted. We may be unable to change or cancel an order once accepted, so please review it carefully. If we cannot accept, change or cancel an order, we will try to contact you using the details you provided.

4. Prices and payment. Prices are in Australian dollars and are displayed inclusive of GST where applicable, consistent with Australian law. Unless stated otherwise, posted prices do not include shipping, which is shown at checkout. Prices, discounts and promotions may change without notice; the price that applies is the one in effect when you place your order, as set out in your order confirmation. You agree to provide current, complete and accurate payment and account information, and you confirm you are authorised to use the payment method you provide.

5. Shipping and delivery. See our Shipping & Delivery Policy. Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs or events outside our control. Risk in the goods passes to you on delivery. Nothing in this section limits your rights under the Australian Consumer Law.

6. Intellectual property. Our Services — including all trademarks, brand names, text, images, graphics, video, audio, and their selection and arrangement — are owned by or licensed to FRANNKLY ROASTED and are protected by intellectual property laws. You may use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, republish or transmit any material from the Services without our prior written consent. FRANNKLY ROASTED's names, logos and designs are our trademarks and may not be used without permission. Shopify's marks belong to Shopify, and other marks belong to their respective owners.

7. Optional third-party tools. We may give you access to third-party tools that we neither monitor nor control. These are provided "as is" and "as available" without warranties or endorsement, and your use of them is at your own risk and subject to the relevant third party's terms.

8. Third-party links. The Services may contain links to third-party websites or materials we do not control. We are not responsible for their content, accuracy or practices, and accessing them is at your own risk. Please review any third party's terms and policies before transacting with them.

9. Relationship with Shopify. FRANNKLY ROASTED is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with FRANNKLY ROASTED. You acknowledge that Shopify is not responsible for any aspect of the sales between you and us, including any injury, damage or loss resulting from products purchased, and you release Shopify and its affiliates from all claims arising from your purchases and transactions with us.

10. Privacy. All personal information we collect through the Services is handled in accordance with our Privacy Policy. Because the Services are hosted by Shopify, some information is also processed by Shopify (including overseas) to provide and improve the Services. See our Privacy Policy for details.

11. Feedback. If you send us ideas, suggestions, reviews or other feedback, you grant us a worldwide, royalty-free, sublicensable licence to use, reproduce, modify and display it for any purpose, including promoting the Services. You confirm you have the rights to any feedback you provide, and that it is lawful and does not infringe anyone's rights. We are not obliged to keep feedback confidential, pay for it, or respond to it, and we may remove content we consider unlawful or objectionable.

12. Errors, inaccuracies and omissions. Occasionally information in the Services may contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges or availability. We may correct these and change or cancel orders (including after they are submitted) if any information is inaccurate, without prior notice.

You must not use them to break any law, infringe intellectual property or other rights, harass or harm others, transmit false or misleading information, distribute spam or malware, collect others' personal information, or interfere with or circumvent the security of the Services. 15. Termination. We may terminate this agreement or your access to the Services at any time at our discretion, and you remain liable for amounts owing up to termination. Sections that by their nature should survive termination — including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability and Governing Law — continue to apply.

16. Disclaimer of warranties. Information in the Services is provided for general information only, and any reliance on it is at your own risk. Except for the consumer guarantees and other rights you have under the Australian Consumer Law that cannot be excluded, restricted or modified, and to the extent permitted by law, the Services and all products are provided "as is" and "as available" without warranties of any kind, and we do not guarantee that the Services will be uninterrupted, secure or error-free.

17. Limitation of liability. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where our liability can lawfully be limited, our liability for a failure to comply with a consumer guarantee (other than a guarantee as to title, undisturbed possession or undisclosed securities) is limited, at our option, to replacing the goods, supplying equivalent goods, or paying the cost of replacement. Otherwise, and to the fullest extent permitted by law, we and Shopify are not liable for any indirect, incidental, special or consequential loss (including lost profits or data) arising from your use of the Services or any product, and our total liability for any claim is limited to the price you paid for the relevant goods.

18. Indemnification. You agree to indemnify FRANNKLY ROASTED, Shopify and our respective affiliates, officers, employees and service providers against any losses, liabilities or claims (including reasonable legal costs) arising from your breach of these Terms, your breach of any law or third-party rights, or your use of the Services — except to the extent the loss is caused by our own negligence or breach.

19. Severability. If any provision of these Terms is found to be unlawful or unenforceable, it will be severed to the minimum extent necessary and the remaining provisions will continue in full effect.

20. Waiver; entire agreement. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with our posted policies, are the entire agreement between you and us regarding the Services and supersede any prior agreements.

21. Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer them without notice to you.

22. Governing law. These Terms are governed by the laws of South Australia, and you and FRANNKLY ROASTED submit to the courts of South Australia.

23. Changes to these Terms. You can review the current version of these Terms on this page at any time. We may update them by posting changes to our website, and your continued use of the Services after changes are posted means you accept them.
